Ten days later, the shareholders listed on the organizational chart gather at the Sword Fangs Legion’s office. I originally wanted to hold the meeting at Gorgoro’s workshop, but since the workshop’s renovations are not complete, it can’t be helped.
The attendees are me, Jilboa, Gooljin, Gorgoro, and Sara. Although Sara is not originally supposed to be present, I got permission to include her as my assistant.
The purpose of today’s meeting, amidst everyone’s busy schedules, is to confirm the establishment of the company organization. Since I’ve been moving ahead with setting up the system, I need to secure the shareholders’ agreement properly. They have the physical power to overturn things if they dislike the agreement. They are not just vocal shareholders; they literally use their strength and swords to make their points.
When it comes to using swords to settle disputes, it would likely mean my head being literally on the line. Thus, I must proceed with extreme caution to secure the agreement.
First, I start with an explanation of the organization. Everyone except Gorgoro understands that the profit from the shoe business will represent a substantial interest. They have previously agreed on the need to establish organizational rules for this purpose. They also broadly agree on the rules for distribution.
Today, I need to decide, ‘how much freedom I can exercise as the president’ as the next step in setting the rules.
Why do I need to decide such things?
For example, I used the shoe rights to acquire Gorgoro’s workshop and technology, but I did not secure prior agreement from Jilboa and Gooljin. While they haven’t voiced any complaints, from a corporate perspective, this is a gray area. As the number of shareholders increases, their potential profits could be reduced. It was a situation where prior consultation should have occurred.
In this case, I later explained that the purpose was to acquire Gorgoro’s workshop, so they were convinced. However, I want to establish rules to follow before suffering from direct violence if they do not agree.
It may sound strange, but by establishing rules for dismissing the president, I can reduce the likelihood of my own head rolling physically. To protect myself, it’s better to systematically distribute rights and responsibilities.
That said, explaining this is challenging. Not only does Gorgoro struggle to grasp it, but Gooljin and Sara also don’t seem to understand immediately. It’s a natural reaction since no one likes to see their authority diminished in an organization.
However, Jilboa showed outstanding comprehension when I explained it.
“In short, it’s like military law. It’s the same as deciding how much the general on the front lines can do,” Gooljin, who has also been with the Sword Fangs Legion, seems to understand.
“In other words, the so-called company that Kenji mentions is like an army. Gooljin and I are like ministers of the country, and Kenji is the general in charge of the front lines. The ministers, who don’t understand the specifics of war, need to set national laws to define how much freedom to grant the general. The general can decide how to fight but must listen to the ministers. So, today we will discuss part of this national law?” Jilboa’s understanding can sometimes be frightening, but today it is reassuring. “Kenji, you really come up with interesting ideas. Organizing business like an army. If this system works, the business might one day become larger than the national army.”
The meeting, which begins with Jilboa’s prophetic statement, lasts half a day. The establishment of the company organization and my appointment as CEO are approved, and regulations for my dismissal are discussed and approved.
Thus, for the first time in this world, a “corporation” is established.
